Effective Date: September 16, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) constitute a legally binding agreement between you, the client, user, participant, or visitor (“you” or “User”) and NorthStar Digital Skills Ltd. (“NorthStar Digital Skills Ltd.,” “we,” “us,” or “our”), governing your access to and use of our training, coaching, support, and related services.
By accessing our website, booking a session, purchasing a service, attending a course, or otherwise using any service offered by NorthStar Digital Skills Ltd., you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms should be read together with any service description, invoice, proposal, booking confirmation, or separate written agreement provided by NorthStar Digital Skills Ltd.. If there is any conflict between these Terms and a separately signed agreement, the separately signed agreement will prevail to the extent of the conflict.
2. Scope of Services
NorthStar Digital Skills Ltd. provides computer-skills training and related educational services, including but not limited to:
- Computer basics training;
- Microsoft Office and Google Workspace training;
- Email and internet skills;
- Cybersecurity awareness training;
- File management and cloud storage support; and
- Remote work productivity coaching.
Our services may be delivered online, remotely, in person, or in a hybrid format, as described in the applicable service offering. We may use third-party platforms, software, or communication tools to provide services. Your use of such third-party services may be subject to their own terms and privacy policies.
We provide educational and support services only. Unless expressly stated in writing, our services do not include legal, financial, tax, employment, or other professional advice. You are solely responsible for evaluating whether any guidance is appropriate for your circumstances.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when booking, registering, or communicating with us;
- Ensure that you have the necessary hardware, software, internet access, and account permissions to receive the services;
- Use the services only for lawful purposes and in compliance with applicable federal, provincial, and local laws in Canada;
- Respect the rights, privacy, and safety of our staff, contractors, and other users;
- Not misuse, copy, resell, distribute, record, or exploit training materials except as expressly permitted in writing;
- Follow all reasonable instructions provided by our instructors, coaches, or support personnel;
- Maintain the confidentiality of any login credentials, access codes, or secure links provided to you; and
- Promptly notify us of any errors, concerns, security incidents, or unauthorized access related to the services.
You are responsible for ensuring that any information, files, passwords, devices, or accounts you share with us are lawful for us to access and work with, and that you have the authority to provide such access. You must not ask us to perform any action that would violate another person’s rights, breach a contract, or contravene applicable law.
We reserve the right to suspend or terminate services if we reasonably believe that you have violated these Terms, engaged in abusive or unlawful conduct, or created a security or operational risk.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, fees for services are due in advance or at the time specified in the applicable invoice, booking confirmation, or service agreement. Prices may be stated in Canadian dollars (CAD) unless otherwise indicated.
- Invoices and due dates: Invoices must be paid by the due date shown on the invoice or booking confirmation.
- Late payments: Overdue amounts may result in suspension of services and may be subject to interest or administrative fees to the extent permitted by law and disclosed in advance.
- Payment methods: We may accept payment by credit card, debit card, bank transfer, electronic transfer, or other methods made available from time to time.
- Taxes: Applicable taxes, including GST/HST and any other required taxes, will be added where required by law.
- Chargebacks and disputes: You agree to contact us first to attempt to resolve any billing issue before initiating a chargeback or payment reversal.
If payment is not received when due, we may pause, reschedule, or cancel services, and you remain responsible for any amounts already incurred or otherwise owed. We are not responsible for delays caused by payment processor errors, bank delays, or incorrect payment details provided by you.
5. Cancellation and Refund Policy
Because our services are scheduled and capacity is reserved in advance, cancellations and refunds are subject to the following policy unless a different policy is expressly stated in writing for a specific service:
- Client cancellations: Cancellations made with reasonable advance notice may be eligible for rescheduling or a partial refund, depending on the service type and timing.
- Late cancellations and no-shows: If you fail to attend a scheduled session or cancel too late for us to reasonably rebook the time, you may forfeit some or all of the fees paid.
- Provider cancellations: If we cancel a session and cannot reasonably reschedule it, we may provide a refund or credit at our discretion, subject to applicable law.
- Digital or completed services: Fees for services that have already been delivered, substantially delivered, or completed are generally non-refundable except where required by law.
- Custom work or bundles: Packages, discounted bundles, custom training plans, and prepaid blocks of time may be non-refundable once work has commenced, except where otherwise required by law or expressly agreed in writing.
Refund requests must be submitted in writing to our contact email and should include your name, booking details, date of service, and the reason for the request. Refunds, if approved, will typically be issued using the original payment method, unless that is not possible.
Nothing in this section limits any non-excludable rights you may have under applicable consumer protection laws in Canada.
6. Liability Limitations
To the fullest extent permitted by applicable law, NorthStar Digital Skills Ltd. and its directors, officers, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings arising out of or related to your use of the services.
Our total aggregate liability for any claim arising out of or relating to the services or these Terms shall be limited to the amount you paid to NorthStar Digital Skills Ltd. for the specific service giving rise to the claim, or, if greater, the minimum amount required by applicable law.
We do not guarantee specific outcomes, productivity gains, software proficiency levels, cybersecurity results, or business success from the use of our services. Training and coaching outcomes depend on many factors, including your participation, skill level, equipment, and implementation of recommendations.
We are not responsible for:
- Losses resulting from inaccurate information provided by you;
- Third-party platform failures, outages, changes, or security incidents;
- Data loss, file corruption, account restrictions, or device malfunction not caused by our gross negligence or wilful misconduct;
- Any reliance on guidance that is outside the scope of the service or contrary to our instructions; or
- Any unauthorized access caused by your failure to protect passwords, devices, or accounts.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation would be unlawful.

- Power outages, telecommunications failures, internet disruptions, cyberattacks, or platform outages;

10. Changes to Terms
We may update, revise, or replace these Terms from time to time to reflect changes in our services, business practices, technology, or legal requirements. When we do so, we will post the updated Terms or otherwise provide notice by reasonable means.
The revised Terms will take effect on the date indicated in the updated version unless a different effective date is stated. Your continued use of the services after the updated Terms become effective constitutes your acceptance of the changes.
If you do not agree with any updated Terms, your sole remedy is to stop using the services and, if applicable, to request termination of any future services that have not yet been delivered.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or your use of the services shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
